Welcome to The Port Hub, an online drayage marketplace operated by Drayage Academy, Inc. (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of The Port Hub platform (“Platform”), including all related tools, notifications, and services.
By accessing or using the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Definitions
For purposes of these Terms:
- “Platform” means The Port Hub website, tools, features, and related services.
- “User” refers to any individual or business accessing or using the Platform.
- “Shippers” include shippers, freight forwarders, and freight brokers posting container loads.
- “Motor Carriers” refer to authorized carriers searching, quoting or booking loads.
- “Content” means any information you post, submit, upload, or transmit through the Platform.
- “Subscription” refers to paid membership plans available to Motor Carriers.
2. Eligibility
To use the Platform, you must:
- Be at least 18 years old;
- Represent a legitimate business or operate as a licensed participant in the transportation or logistics industry;
- Ensure all registration information is accurate, current, and complete.
You agree to update your information as needed.
3. Account Registration
You are required to create an account to access certain features. You agree to:
- Maintain the confidentiality of your login credentials;
- Notify us immediately of unauthorized access;
- Accept responsibility for all activity under your account.
We reserve the right to refuse or terminate accounts for any reason.
4. User Roles & Responsibilities
Shippers / Brokers / Freight Forwarders
- May post drayage load opportunities on the Platform free of charge.
- Must provide accurate and truthful load details.
- Are solely responsible for negotiating, selecting, and contracting with carriers.
Motor Carriers
- Must maintain proper operating authority, insurance, and compliance.
- May view posted loads and contact Shippers regarding posted opportunities.
- Are responsible for verifying load legitimacy, shipper credibility, and all transaction details.
All Users Agree To:
- Conduct business professionally and lawfully;
- Verify all transaction details independently;
- Use the Platform only for drayage-related communication;
- Not harass, spam, market unrelated services, or misrepresent identity;
- Take full responsibility for the accuracy of their posted content.
5. Subscriptions & Payments (Motor Carriers)
Motor Carriers may access loads through a monthly subscription plan.
5.1 Recurring Billing
- Take full responsibility for the accuracy of their posted content.
- Fees are billed automatically on a recurring monthly cycle.
- All charges continue until membership is canceled.
5.2 Upgrades & Downgrades
- Membership changes take effect immediately.
- Prorated charges may apply depending on billing cycle.
5.3 Failed Payments
- Prorated charges may apply depending on billing cycle.
- If a payment fails, we may suspend or restrict access until resolved.
- Repeated failures may result in account termination.
5.4 No Refunds
- Payments for subscriptions, partial periods, or unused time are non-refundable.
5.5 Chargebacks
You agree not to initiate chargebacks without first contacting support. Fraudulent or invalid chargebacks may result in fees or legal action.
6. Acceptable Use & Prohibited Conduct
You agree not to:
- Use the Platform to solicit unrelated products or services;
- Access the Platform using bots, scrapers, or automated tools;
- Post false, misleading, or harmful information;
- Copy, modify, reverse engineer, or resell any portion of the Platform;
- Interfere with the website, services, or security features.
Violations may result in immediate suspension or permanent account removal.
7. User-Generated Content
By posting or submitting information (“Content”), you represent that:
- You own the rights to the Content or have permission to use it;
- The Content is accurate and lawful;
- You grant us a non-exclusive, royalty-free license to display and use the Content to operate the Platform.
We may remove any Content that violates these Terms or harms Platform integrity.
8. Marketplace Disclaimer
The Port Hub is a neutral marketplace.
We do not:
- Broker freight;
- Verify user identities, credentials, or compliance;
- Guarantee load availability, payment, or performance;
- Participate in negotiations or contracting.
All transactions occur exclusively between Users, and you assume full responsibility for verifying all aspects of a load or business partner.
9. Third-Party Services
The Platform may integrate with third-party tools (e.g., Stripe, OpenPhone, email/SMS providers, AI tools).
We are not responsible for:
- Third-party service interruptions;
- Errors, delays, or data issues caused by third-party platforms;
- Changes in third-party terms or functionality.
Use of third-party services is governed by their respective terms.
10. Communication Consent
By creating an account, you agree to receive:
- Email notifications regarding account activity and load postings;
- Optional marketing or educational emails (you may unsubscribe at any time);
- SMS updates or alerts when applicable.

11. Privacy
Your use of the Platform is also governed by our Privacy Policy, available at: https://port-hub.net/privacy-policy
By using the Platform, you consent to our data collection and usage practices as described there.
12. Indemnification
You agree to indemnify, defend, and hold harmless Drayage Academy, Inc., its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Platform;
- Your violation of laws or regulations;
- Your interactions or agreements with other Users;
- Your Content or misuse of the Platform.
13. Limitation of Liability
To the fullest extent permitted by law, we are not liable for:
- Lost profits or revenue;
- Business interruption;
- Loss of data;
- System outages or platform unavailability;
- Any direct, indirect, incidental, or consequential damages arising from Platform use.
Your sole remedy for dissatisfaction with the Platform is to discontinue use.
14. Termination
We may cancel your membership or delete your account for:
- Non-payment;
- Violation of these Terms;
- Fraudulent or abusive activity;
- Posting unauthorized or harmful content.
You may delete your account at any time through your Company Profile or by contacting support.
Cancelation does not relieve you of unpaid fees.
15. Modifications to Terms
We may update these Terms at any time. Changes are effective when posted. Continued use of the Platform constitutes acceptance of updated Terms.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Any disputes shall be resolved through binding arbitration, except claims eligible for small claims court.
17. Severability & Entire Agreement
If any provision of these Terms is found invalid, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and Drayage Academy, Inc. regarding Platform use.
